This is an active agreement between an advertiser and an entity referred to as the ACO, ABAGALE Channel Owner. The advertiser will provide customized advertising videos to the ACO for placement onto a channel. The videos must meet acceptable standards and cannot contain any material considered vulgar or unacceptable to the public.

Whereas: (Advertiser) will provide their customized advertising videos to (ACO) for placement onto the Channel. (ACO) agrees to upload the advertising video and run it the agreed-upon number of times per day.

The advertiser shall indemnify and hold harmless the ACO from and against any and all liabilities, damages, losses, costs, expenses, and reasonable attorney’s fees arising out of or related to the advertiser’s video content, including but not limited to claims of copyright infringement, defamation, or violation of any law or regulation. The advertiser represents and warrants that it has all necessary rights, licenses, and permissions to use and distribute the video content and that the content does not infringe on the intellectual property or other rights of any third party.
